Brown, Todd & Heyburn PLLC, the largest law firm in Kentucky, will double in size when it merges with Cincinnati's largest law firm, Frost &, Jacobs on Nov. 1.
The merger agreement was voted on by partners at Brown Todd on Wednesday evening and by their counterparts at Frost & Jacobs on Thursday morning. The "merger-of-equals" creates a super-regional law firm of nearly 400 attorneys, 850 total staff and revenue in excess of $100 million.
The new firm, to be called Frost Brown Todd LLC, will rank among the 75 largest in the country.
It will have offices in Louisville, Lexington and Covington, Ky.; Cincinnati, Columbus and Middletown, Ohio; New Albany, Ind.; and Nashville, Tenn.
The agreement calls for Frost Brown Todd to be run by co-managing partners, with equal representation from Brown Todd and Frost & Jacobs on the firm's management committee and in its practice areas.
"It truly is a marriage of equals," said C. Edward Glasscock, Brown Todd's managing partner.
Glasscock will serve as co-managing partner at Frost Brown Todd along, with Richard J. Erickson, chairman of the executive committee of Frost & Jacobs.
Brown Todd was formed in 1972 through the merger of three Louisville law firms with histories dating back to the 1800s. The firm's services include U.S. and international business law, litigation, labor and employment, trusts and estate planning, and environmental law.
Frost & Jacobs was founded by Henry G. Frost and Carl M. Jacobs in 1919. The firm's practice is formally divided into seven departments, with many specialized practice groups. It provides a full range of legal services to industrial, commercial, institutional and individual local, regional, and national clients.
Similar firms had similar plans
Both firms are of similar size and have comparable client bases and revenues, the managing partners said.
Glasscock said the merger has been in the works for 11 months. Brown Todd has been actively looking for expansion opportunities as part of its strategic plan to strengthen its regional presence, attract even more large national corporate clients and serve emerging companies, he added.
