Trintech Group Plc has acquired Concuity Inc., a vendor of health insurance contract management software for provider organizations. Dallas-based Trintech sells transaction reconciliation, general ledger reconciliation and certification, cash management, and transactions processing software and services to businesses and organizations in the commercial, financial and health care markets. Acquisition terms included $5.5 million paid at closing with performance-based payments over two years valued at $2.5 million to $3.5 million, $2.0 million of which is guaranteed. Trintech also will fund operational losses of the acquired business of up to $1.5 million through Jan. 31, 2008. Trintech expects Concuity in the fiscal year, which started Feb. 1, to have a net operating loss of about $1.1 million on revenue of $5.5 million to $6.0 million. But Concuity should contribute to earnings beginning in the following fiscal year. The ClearContracts software of Vernon Hills, Ill.-based Concuity enables providers to analyze claims and remittance data to identify potentially underpaid claims. It also calculates expected reimbursement based on an insurer's payment rules, or can integrate with another vendor's calculation engine. The vendor has 18 provider organization clients.
